Software as a Service (SaaS) License Agreement

This Software as a Service License Agreement (“Agreement”) is entered into by and between Alpha Media Resources, Inc, a Texas Corporation (“Provider”, “we”, or “us”), and the customer (“Customer”, “you”, or “your”) identified in the project scope or ordering document. By using the Services (as defined below), you agree to be bound by this Agreement.

1. Scope of Services

Provider offers cloud-based automation tools that interact with QuickBooks Online, facilitating accounting-related workflows through integrations authorized by you using OAuth 2.0. Services are delivered on a per-project basis, with each project defined by a mutually agreed scope and deliverables.

2. License Grant

Subject to the terms of this Agreement and the scope defined in your project, we grant you a non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes and solely for the project covered under this Agreement.

3. Project Pricing and Payment

  • You agree to pay fees as outlined in the project scope, statement of work, or other written agreement.
  • Fees are based on the functionality and scale of the project and are invoiced according to agreed terms.
  • Custom development or expanded integrations may be quoted separately and added to the scope by mutual written agreement.

4. Customer Responsibilities

You are responsible for:

  • Providing valid QuickBooks Online credentials and authorizations via OAuth 2.0 to allow access.
  • Ensuring your use of the Services complies with applicable laws, accounting standards, and Intuit’s developer terms.
  • Accurately communicating requirements and data for your project.

5. Ownership of Data

You retain full ownership of all data you provide to the Services, including but not limited to any financial records accessed via QuickBooks Online. Provider will access and use this data only as necessary to fulfill the licensed project scope.

6. Privacy and Security

We implement commercially reasonable security measures to protect your data and credentials. Our Privacy Policy, available at https://www.tools4books.com/privacy.html, describes how we handle personal and financial information.

7. Third-Party Integrations

Your use of QuickBooks Online and any other integrated service is governed by the respective provider’s terms. You acknowledge and agree that Provider is not responsible for the performance or availability of such third-party services.

8. Term and Termination

This Agreement remains in effect for the duration of the project unless earlier terminated:

  • By you, at any time, with written notice (subject to agreed payment obligations).
  • By us, if you materially breach this Agreement or misuse the Services.
  • Upon termination, we will retain project data for 30 days, after which it may be securely deleted.

9. Intellectual Property

All rights, title, and interest in the Services, including all software, methods, and documentation (excluding your data), are owned by Provider. You may not reverse engineer, resell, or redistribute any part of the Services.

10. Disclaimer of Warranty

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE FEES PAID BY YOU FOR THE PROJECT. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless Provider from any claims arising from your use of the Services, including claims related to unauthorized access or misuse of QuickBooks data.

13. Governing Law

This Agreement is governed by the laws of the State of Texas, excluding its conflict-of-laws rules.

Intuit as Third-Party Beneficiary: Licensee acknowledges that Intuit, Inc. is a third-party beneficiary of this Agreement with the right to enforce its terms as they relate to QuickBooks Online data access. Licensee agrees that Intuit may directly enforce any term of this Agreement against Licensee, including termination of data access if Licensee violates Intuit’s Developer Terms.

14. Entire Agreement

This Agreement, along with any project-specific scope, constitutes the entire agreement between the parties. Any changes must be in writing and agreed by both parties.
